𝗗𝗲𝗮𝗹 𝗻𝗲𝘄𝘀 | AKD, with Noerr, advises Borromin Capital on exit of WATR Group Funds advised by Borromin Capital, a DACH and Benelux focused private equity firm, sold the WATR Group to funds managed by Castik Capital, the long-term focused investment fund. The WATR Group is a leading provider of dewatering and groundwater purification solutions in Europe, with a strong presence in Germany, the Netherlands and Belgium. AKD acted as Dutch and Belgian counsel on the transaction, with Noerr as lead counsel. The transaction is subject to regulatory approvals.   The multi-jurisdictional team was led by Lennart Crain (Corporate M&A).   In the Netherlands, the team consisted of Wouter Kros, Peter Cohen, Lisanne Maes and Ruben Dickhoff (Corporate M&A), Daan ter Wee (Notarial), Niels Hagelstein (Finance), Jorn de Bruin and Lisanne van Schaik (Employment and Pensions), Daan Pinxter and Robin Janssen (Environmental and Permits), Philippine Beerman (Commercial Contracts), and Nino Van Deinsen and Christina Peters (Real Estate). This time, Moonfare’s Secondary Fund (MSF) invested in a continuation fund acquiring Ambienta’s platform company Wateralia, a leading producer of water pump systems. MSF invested alongside industry heavyweights in a transaction led by StepStone Group and Lexington Partners. Wateralia was created in 2022 with the merger of two Italian producers in the water pump industry, Caprari and Calpeda. Since Ambienta’s initial investment, Wateralia’s EBITDA has grown sixfold and revenues have tripled. Dils Portugal acted as a commercial due diligence advisor to Apollo Global Management, Inc. and LeadCrest Capital Partners in the acquisition of 49% of the capital of Alcapredial, the entity responsible for the real estate branch of the Mosqueteiros Group in Portugal. The acquisition was carried out by the joint venture between Apollo Funds and fund manager LeadCrest Capital Partners, exclusively dedicated to sale & leaseback and build-to-suit operations in Europe. This landmark investment, valued at nearly €500 million, was the largest commercial transaction in Portugal in 2024. The other 50% of the vehicle continues to be owned by the Generali Group mainly through the Generali Real Estate Logistic Fund (GRELF) managed by Generali Real Estate S.p.A.
